Terms of Use

These Terms of Use govern your access to and use of the website at www.amayacloud.com (the "Site"), operated by AMAYACLOUD INC, a Delaware corporation ("Amaya Cloud," "we," "us," or "our"). By using the Site, you agree to these Terms.

1. These Terms do not grant access to our services

This is important. These Terms govern the public website only. They do not grant any right to use Amaya Cloud infrastructure, GPU capacity, or any other service we provide.

Access to our infrastructure services is governed exclusively by a separately executed written agreement, which includes our Master Services Agreement, an applicable Order Form, our Service Level Agreement, and a signed End-User, End-Use & Export Compliance Certification. Nothing on this Site constitutes an offer, reservation, commitment, or agreement to provide services. No forecast, proposal, benchmark discussion, or reservation request creates any obligation on our part unless it is included in an executed Order Form.

2. Permitted use of the Site

You may use the Site for lawful business purposes. You may not:

• interfere with or attempt to compromise the security or integrity of the Site;
• attempt to gain unauthorized access to the Site, our systems, or any related infrastructure;
• introduce malicious code;
• scrape, crawl, or harvest content in a manner that materially disrupts the Site's operation;
• misrepresent your identity, organization, or authority in any communication with us; or
• use the Site in violation of applicable law, including export-control and sanctions laws.

3. Eligibility

The Site is intended for business use by individuals who are at least 18 years old. If you submit an inquiry on behalf of an organization, you represent that you are authorized to do so.

4. Informational content

Content on the Site — including descriptions of hardware, capacity, locations, performance characteristics, and commercial terms — is provided for general informational purposes and may change without notice. Site content does not modify, supplement, or override any executed Order Form, Master Services Agreement, Service Level Agreement, or other binding agreement unless expressly incorporated into that agreement in writing.

Availability and performance commitments, where they exist, are set out exclusively in an executed Service Level Agreement. No statement on this Site constitutes a service level commitment.

5. Intellectual property

The Site and its content — including text, graphics, photographs, video, layout, software, and the Amaya Cloud name and logo — are owned by Amaya Cloud or its licensors and are protected by applicable intellectual-property laws. You are granted no rights other than the limited right to view and use the Site as permitted by these Terms.

Third-party names, trademarks, and logos appearing on the Site, including those of hardware manufacturers, are the property of their respective owners. Their appearance does not imply endorsement of Amaya Cloud by those parties except where we state an actual relationship.

6. Third-party links

The Site may link to third-party websites. We do not control those sites and are not responsible for their content, terms, or privacy practices.

7. Privacy

Our handling of personal information collected through the Site is described in our Privacy Policy.

8. Disclaimer

To the maximum extent permitted by applicable law, the Site is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

This disclaimer applies to the Site only. Warranties relating to our infrastructure services, where they exist, are set out in our Master Services Agreement.

9. Limitation of liability

To the maximum extent permitted by applicable law, Amaya Cloud will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Site.

This limitation applies to the Site only. Liability relating to our infrastructure services is governed by the limitation of liability provisions in our Master Services Agreement.

10. Changes

We may modify these Terms at any time by posting an updated version with a revised effective date. Your continued use of the Site after a change constitutes acceptance of the updated Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The state and federal courts located in Alameda County, California have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction there.

12. Severability

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
